PassionBio is an independent life sciences company focused on the evaluation, advancement, and value creation of underutilized pharma assets. We operate at the interface of scientific assessment, clinical development strategy, and investment execution, with the objective of accelerating development timelines and enabling clinically meaningful benefit relative to existing standards of care.
Our activities are organized through a clearly defined operating entity and a dedicated investment vehicle, each serving a distinct role within a unified strategic framework.
Operating Entity
PassionBio.tech FlexCo acts as the operating entity of PassionBio. It is responsible for sourcing external development programs, assessing scientific and clinical viability, and shaping development strategies aligned with mechanism of action, target indication, and biomarker availability.
Core activities include scientific and technical due diligence, clinical development planning, support of protocol design, and active engagement with portfolio companies. Operational execution is guided by an Investment Committee with expertise across oncology, metabolic disease, liver disease, immunology, CMC, regulatory strategy, and clinical development.
Investment Vehicle
Capital deployment is conducted through a dedicated EuVECA investment vehicle. For all regulatory, legal, and contractual purposes, the fund operates under the name PBC I EuVECA GmbH & Co KG. In marketing and general external communication, the fund is referred to as PassionBio Capital Fund I.
The fund was incorporated on 03FEB’26 and is in the process of being registered in the commercial register. Investment activity will commence only following formal registration and completion of all required regulatory steps.
Scientific evaluation and development strategy are driven by the operating entity to ensure alignment between investment rationale and execution.

Structure & Roles
The operating entity and the investment vehicle function within a defined governance framework with clearly allocated responsibilities. PassionBio.tech FlexCo provides sourcing, evaluation, and development expertise, while the fund serves as the capital allocation vehicle.
This structure enables separation of operational execution and financial investment while maintaining alignment through defined processes and decision rights.
